Fiat Chrysler and Peugeot Citroën Agree To Merge

The Wall Street Journal recently reported that Fiat Chrysler was in merger talks with France’s Groupe PSA, which owns Peugeot, Citröen, DS, and other car brands somehow including Opel.

Now the news site reports that, per its sources, the two automakers have come to a merger agreement.

We don’t know much yet, all we know is what’s in the Wall Street Journal’s updated headline, which now reads: “Fiat Chrysler and Peugeot Owner PSA Agree to Merge.”

The first line of that story states:

The story has been updated with more information, reading:

Fiat Chrysler Automobiles FCAU +6.82% NV and Peugeot PUGOY +2.63% maker PSA Group of France have agreed on the terms of a merger that, if approved by both boards, would create the world’s fourth-largest auto maker by volume with a market value of more than $48.4 billion, according to people familiar with the situation.

Peugeot’s board approved the deal on Wednesday.

Fiat Chrysler’s board meeting was still in progress while the board of Exor, the Agnelli family holding company that controls the Italian-American car maker, was scheduled to meet later on Wednesday night.

The article goes on to say that Peugeot’s CEO Carlos Tavares would become CEO of the newly-formed, merged company, and FCA chairman John Elkann would become chairman.

FCA and PSA had officially announced they were in talks together this morning, but nothing new is out since this WSJ update.

We’ll update this story as we hear more.

Fiat Chrysler responded to Jalopnik’s inquiry by saying “We’re not commenting,” and directed us to its statement from this morning, which reads:

"Following recent reports on a possible business combination between Groupe PSA and FCA Group, Fiat Chrysler Automobiles N.V. (“FCA”, NYSE: FCAU /MTA: FCA), confirms there are ongoing discussions aimed at creating one of the world‘s leading mobility Groups. FCA has nothing further to add at this time."

Groupe PSA responded to Jalopnik’s inquiry saying something similar.

“I confirm we have started discussion as per our press release this morning. Beyond this I will not comment,” the email reads from a company representative.

That press release, if you’re curious, reads:

"Following recent reports on a possible business combination between Groupe PSA and FCA Group, Groupe PSA confirms there are ongoing discussions aiming at creating one of the world‘s leading automotive Groups."

I think after the merge, the NewCo will probably list Alfa Romeo and Maserati for sale :crying:
They are more likely to concentrate on the city car front and will dominate that market in Europe.

Hope that Alfa and Maserati will go to a good home, like the Volvo Geely group, they need a sporting brand and a luxury brand.

Now Peugeot can sell Fullback bakkies and not some Donfeng/Changan Nissan Np300. There should be more Mitsubishi bakkies on the road.

BREAKING: PSA Group and Fiat Chrysler Automobiles confirm plans for 50/50 merger

Following news yesterday of talks between the two automotive giants, it has now been announced they will reach a binding agreement in the coming weeks

The PSA Group and Fiat Chrysler Automobiles have confirmed plans to merge on a 50/50 basis, firming up yesterday’s news that the two companies were in discussions regarding such a move.

Both firms said today that the discussions would be finalised “in the coming weeks” to reach a binding Memorandum of Understand.

Good gravy.... what will come of this. Americans, Germans, Italians, the French.... This sound like the start of a bar joke.

Opel is crawling back to its American masters ;)

This new company does look like a hodge podge, so I can see some serious re alignment.

I think that all major car makers just really want scale at this point.

One thing that was on the decks for sure, if Brexit we're to go through, is a massive culling of Vauxhall. When faced with down sizing in neighbouring Germany or across the pond the choice will not be that hard for PSA.

Opel and Fiat have a history of working together and at some stage Fiat wanted to buy Opel from GM.

PSA Group and Fiat Chrysler Automobiles formally announce merger plans

The PSA Group and Fiat Chrysler Automobiles have officially announced plans to merge, which would effectively create the fourth-largest global OEM in sales terms.

Both boards have given the mandate to their respective teams to finalise the discussions to reach a binding memorandum of understanding in the “coming weeks”.

In a joint statement, the two firms confirmed “discussions have opened a path to the creation of a new group with global scale and resources owned 50 percent by Groupe PSA shareholders and 50 percent by FCA shareholders”.

“In a rapidly changing environment, with new challenges in connected, electrified, shared and autonomous mobility, the combined entity would leverage its strong global R&D footprint and ecosystem to foster innovation and meet these challenges with speed and capital efficiency,” the statement said.

The proposed board of the new company Dutch-domiciled parent would be composed of 11 members. Five members would be nominated by FCA (including John Elkann as chairman) and five would be nominated by Groupe PSA (including the senior independent director and the vice chairman).

On Thursday it became official: Fiat Chrysler Automobiles and PSA Group are merging to become the world's fourth-largest automaker. Alfa Romeo, Citroën, Chrysler, Dodge, DS, Fiat, Maserati, Opel, Peugeot, Ram, and Vauxhall will all now share a single corporate parent and merge operations. In a press release, Fiat Chrysler and PSA said that the 50:50 merger should save more than $4 billion (€3.7 billion) a year from "run-rate synergies without any plant closures."

DETROIT — In a merger deal announced overnight, Fiat Chrysler stands to gain electric vehicle technology while PSA Peugeot Citroen could benefit from a badly needed dealership network to reach its goal of selling vehicles in the U.S.

The merger would create the world's fourth-largest automaker with a combined market value of around $50 billion. Neither company would comment.


For years, Fiat Chrysler has lagged its rivals in electric vehicle technology, with its former CEO once trying to discourage people from buying its only fully electric car in the United States, the Fiat 500E, because he lost money on each sale.
