{"id":6361,"date":"2008-12-17T07:48:00","date_gmt":"2008-12-17T05:48:00","guid":{"rendered":""},"modified":"2008-12-17T07:48:00","modified_gmt":"2008-12-17T05:48:00","slug":"r23-2bn-bonanza","status":"publish","type":"post","link":"https:\/\/mybroadband.co.za\/news\/cellular\/6361-r23-2bn-bonanza.html","title":{"rendered":"R23.2bn bonanza"},"content":{"rendered":"<p>MTN has unveiled plans for a new black economic empowerment deal after announcing the unwinding of its current empowerment vehicle.<\/p>\n<p>The cellular operator, which boasts the largest network in Africa, will be issuing a R3.2-billion special dividend &mdash; &mdash; equal to about 1.8 percent of MTN&rsquo;s share capital &mdash; as the first in dissolving its current black economic empowerment vehicle.<\/p>\n<p>In 2002, Newshelf (Pty) Ltd was established and held by the Alpine Trust to acquire 18.7 percent of MTN&rsquo;s ordinary shares over a six-year period.<\/p>\n<p>The company said in a statement on Monday: &ldquo;Subject to appropriate financial market conditions, MTN intends to make proposals to its shareholders to implement a new BEE transaction during the first half of 2009.<\/p>\n<p>&ldquo;The purpose of the Newshelf acquisition is to facilitate the orderly [unwinding] of the Newshelf structure and minimise the dilutionary impact of the BEE transaction on earnings going forward.&rdquo;<\/p>\n<p>During 2007, some of the shares were sold to the Public Investment Corporation, leaving Newshelf with a 13.1 percent (R23.4-billion) stake in MTN.<\/p>\n<p>The unwinding will pay out to 3200 beneficiaries, meaning a significant reduction of the company&rsquo;s black economic empowerment status.<\/p>\n<p>These beneficiaries are a combination of historically disadvantaged MTN employees and eligible senior staff members, including chief executive Phutuma Nhleko and chief operating officer Sifiso Ndabengwa.<\/p>\n<p>MTN said the R3.2-billion special dividend would be paid to beneficiaries early next year, with the remaining R20-billion to be paid at a future date.<\/p>\n<p>Lindsey McDonald, ICT analyst at Frost &amp; Sullivan, said the company wanted to keep a favourable BEE scorecard, adding: &ldquo;This deal will make up for any loss in BEE rating.&rdquo;<\/p>\n<p>However, the company said it would only sell 5-6 percent of its issued share capital.<\/p>\n<p>&ldquo;This will amount to between 21 percent and 25 percent of its South African operations,&rdquo; said Cadiz Asset Management analyst Rajay Ambekar. &ldquo;This wouldn&rsquo;t amount to the same score as what they currently have.&rdquo;<\/p>\n<p>But Ambekar added the company would make a public offer similar to Sasol&rsquo;s Inzalo and Vodacom&rsquo;s YeboYethu, where previously disadvantaged investors could buy shares at a discount.<\/p>\n<p><strong><a href=\"http:\/\/mybroadband.co.za\/vb\/showthread.php?t=150647\">MTN BEE discussion<\/a><\/strong><\/p>\n","protected":false},"excerpt":{"rendered":"<p>MTN unveils plans for \u00e2\u20ac\u02dctop-up\u00e2\u20ac\u2122 BEE deal<\/p>\n","protected":false},"author":2,"featured_media":0,"comment_status":"open","ping_status":"closed","sticky":false,"template":"","format":"standard","meta":{"_sma_x_autopost_status":"idle","_sma_x_autopost_error":"","_sma_x_post_id":"","_sma_x_attempts":0,"footnotes":""},"categories":[14],"tags":[],"class_list":["post-6361","post","type-post","status-publish","format-standard","hentry","category-cellular"],"_links":{"self":[{"href":"https:\/\/mybroadband.co.za\/news\/wp-json\/wp\/v2\/posts\/6361"}],"collection":[{"href":"https:\/\/mybroadband.co.za\/news\/wp-json\/wp\/v2\/posts"}],"about":[{"href":"https:\/\/mybroadband.co.za\/news\/wp-json\/wp\/v2\/types\/post"}],"author":[{"embeddable":true,"href":"https:\/\/mybroadband.co.za\/news\/wp-json\/wp\/v2\/users\/2"}],"replies":[{"embeddable":true,"href":"https:\/\/mybroadband.co.za\/news\/wp-json\/wp\/v2\/comments?post=6361"}],"version-history":[{"count":0,"href":"https:\/\/mybroadband.co.za\/news\/wp-json\/wp\/v2\/posts\/6361\/revisions"}],"wp:attachment":[{"href":"https:\/\/mybroadband.co.za\/news\/wp-json\/wp\/v2\/media?parent=6361"}],"wp:term":[{"taxonomy":"category","embeddable":true,"href":"https:\/\/mybroadband.co.za\/news\/wp-json\/wp\/v2\/categories?post=6361"},{"taxonomy":"post_tag","embeddable":true,"href":"https:\/\/mybroadband.co.za\/news\/wp-json\/wp\/v2\/tags?post=6361"}],"curies":[{"name":"wp","href":"https:\/\/api.w.org\/{rel}","templated":true}]}}
