Close Corporations(CC) Renewal Process

Ello Good People

Please help me out, I registered my company back in 2010. I have not traded with company nor have I filled any returns with SARS, its only registered with CIPRO(CIPC)

I may need to use the company pretty soon, where do I start in terms of making sure that all is still in order?

Does one have to pay annual fees with CIPC? I just searched for the company on CIPC's database on the net and it shows "Current Enterprise Status : In Business"

Are you registered as a user on CIPC? Check there what the status is of the CC. If it is stated as: In Business and you haven't filed any returns with anybody, its quite strange - should show a status of: (site is terrible slow so cant get the exact wording, sorry)

Re-instatement of a Close Corporation

Once a CC has been deregistered, an application can be made to have it re-instated, provided that the following procedures are followed:

First confirm the status of the CC with the office because an application may have been lodged by the South African Revenue Service for the CCs deregistration.
If it is confirmed that it is deregistered, the following procedure for re-instatement should be followed:
If there was any fixed property owned by the CC, a written confirmation must be obtained by the Department of Public Works as well as the Department of Treasury that they have no objection to the CC being re-instated.
Such an intention (to re-instate the CC) will have to be advertised in the local newspaper where the CC is trading to try to determine public interest in the corporation being restored giving 21 days clear notice.
Documents to submit for re-instatement of a close corporation

The following information documents must be submitted for re-instatement:

Lodge the CoR 40.5 form with a fee of R200.00.
Certified ID copies of all the members and the applicant (person submitting the documents on behalf of the CC).
Deed search.(Visit the Deeds Office to determine if the CC owns property).
If immovable property was owned by the CC, a letter from Department of Treasury and a letter from Public Works.
Copy of the extract in a local newspaper giving 21 days clear notice of application.

Thanks Dan for info, I have checked several times now and yes the company shows as in business on CIPC website. So I am guessing I dont have to do anything since they have not De-registered the company.
