Installing windows xp over windows 2000

Sorry, but i did look on the Technical side but did not pick this question up.

if i have a laptop running windows 2000 can i install windows xp on that laptop?
do i boot the laptop with windows xp disc or do i have to do something else first?
do i need the internet for it and will i loose whatever is on the laptop?

ok this is an old laptop.

327,152 kb ram
10gb hard drive with 2.61 gb left over
 
m700 is all i see. its not a big deal i just thought i would try clean up this laptop for my daughter and i know a little more about xp then windows 2000.

Seems it will be able to run XP after all

Assuming it's got a 700Mhz CPU and 256Mb RAM - XP will run in that configuration.

wow you got all that from my info, do i take the plunge and try it?
 
I would stick with Windows 2000, XP won't offer much more on that Laptop just use more memory, if you can upgrade to 512MB of ram then XP would be worth it.
 
ok, at the moment she plays games on it but i have installed a programme for her to do voice recordings, i think she can stay with that for now and once she is doing her school projects i will upgrade her.
 
just a thanks to all who helped in this post. our guy that we use at work to fix/upgrade and buy our pc stuff from took the 10g laptop in and put on windows xp and a 40g hardrive in for my daughter. we will give it to her for xmas.
