Need advice on legal documentation please.

We have some folks in JHB who have requested to act as agents for our software in JHB.

I am hesitant to just hand over our "installation cd" without some legal contract in place.

I want to make sure they won't take our software to another development company and duplicate our systems and also that if things don't work out, that they cannot get invloved with my competition for some considerabe time.

Is there any template documentation that anyone here knows of that will help?

Get a non-disclosure agreement.

As for the restraint-of-trade clause - that's a very touch-and-go subject. IIRC you can't prevent them from doing it.

just do a search on the net for lawyers (sp?) dealing with copyright etc. They will be able to help you draft such a document.

I have a lot of NDA's that i have downloaded but none of them cover everything I feel I need to cover.

I think that getting a lawyer is the best way to go. Thanks for the link.
