Server 2008 R2 Std Upgrade to 2012 Std

Hi guys. I'm upgrading a buddy's small business server from 2008 R2 Standard to 2012 Standard. Any idea if the license will carry over if doing an in place upgrade or does he need to procure a new license for 2012 ? I've searched but can't find a definitive answer. Some forums say yes and others say no. Can anyone who *may* have done this upgrade advise ? Thanks in advance.

Unless you have a Software Assurance agreement going and purchased the OS over 3 years just before 2012 was released you have no upgrade rights without acquiring a new license for the new OS
 
So, 2008 has been running on his server since 2009. Would that qualify ?

Question 2 (and maybe a silly question), if we do the upgrade, can we roll back to 2008 if the license doesn't carry over ?

If you don't even know if you have software assurance,you don't have software assurance ;)

Well,technically if you in-place-upgrade,but why even start the process? You need a new license key,it doesn't "upgrade" the key for you

Also In-place upgrades on domain controllers is dubious at best

It's not acting as a DC. Just running a medical app and DB for 11 workstations to connect to.

You mentioned "small business server" so assumed it was running DC/Exchange as normal SBS2008 does
