Terms and Conditions for Custom development

I need some advice on custom software development I've contracted to a company in Holland. I bought one of their modules I need on Magento and need them now to do some custom development for my e-commerce site to integrate two modules with each other. My issue is that the integration of the modules can also benefit other companies that want to do something similar. They assure me that I'm the first company that requested such specific development to be done and the cost is in excess of R 20000.00. I want to know if I can setup some terms and conditions from my side that the development company needs to comply with to not use such code to benefit them financially in future. What I’m basically saying is that I think it is unfair for me to fit the full bill but afterwards they can sell this to other companies.

I also don’t want the development company to use the custom development code for other companies.

Do such terms and conditions exist?

Can I claim this as my intellectual property or even patent this?

I need some help or advice from knowledgeable development companies/developers that has been in this situation before.

We get this often. Developers don't want to branch their code, maintain multiple versions or have options exclusive to your needs. Sorry but the feature ends up in the product. For exclusivity multiply by 10 or even 100.
 
R20k is a very low price tag.

A web-site like Takealot.com (just an example) takes a multiple teams of developers probably 2 or so years to finish. Total cost would be in the millions.

The cost of a developer with just a university degree and 0 experience is about 20k per month. Experienced developers earn significantly more. An experienced developer can easily cost 20k per week.

They are essentially giving it to you at cost price or very close.

Would I be correct in assuming you bought a theme for lets say $50 and require custom integration now for your "theme" to work as it should ?

Do you manage the products etc yourself or how is this part done ?

Depending on your requirements it would be a huge bump from their side to quote that amount

Very low indeed

Kalahari paid over R60k just for the ssl and server side security as well as various benchmark tests on login etc

Overall site security is awesome now :)

Although, last time I checked, I still can't use symbols in my passwords... no exclamation marks, no '@' symbols, no ampersands, nothing!

Not a very secure decision in my opinion :/

Correct me if I'm wrong at time of writing, but I checked this about a month ago.

True now a basic example

Hetzner doesn't allow special characters in their shared hosting environment does this make their system "dodge" ?

The same with Kalahari never judge a book by its cover I would say :)

Much more to security than just special characters in a password field back to my point developing a system like kalahari/ take alot etc have is not over night and you will have to bring some money to the party

Some of these sites security is better than some banks in SA makes one wonder ...

Agreed. Security encompasses a lot more than just a password with extra symbols... but those symbols certainly help!

Replacing the '2' with an '@' e.g. 'p@ssw0rd'? About 2 days.

I still say places like Kalahari should consider these things.

Agreed on the password thing issue

When one forgets your password on Kalahari they send a randomly generated password to your email so I would say there is room for improvement

Most cases unfortunately users do not know what a secure password is and as a developer myself its difficult to check for everything but unfortunately one has to

Between us though I can crack any 8 digit password in 1 hour max :) symbols or not but that is where kalahari is so too say untouchable you cannot get access to that main frame :)
 
Why are you assuming he paid $50 for a theme, or that he's even referring to a theme? Just cause you use themes for everything doesn't mean other people do as well.


@Henni, you need to weigh-up the costs of the custom module to the amount of extra business it can bring in. Or, how much business / revenue you could have lost if you didn't use it.

It might also even be cheaper if you had the same, or similar module redeveloped by someone else, but you would either need to "shop around" or be a bit more specific asto what you need. I'm sure someone else might do this on a freelance basis at a better price

Ok, so please explain to me how you got to the fact that he brough a $50 template then? A module, especially for something like Magento could be a tracking module, accounting module, or anything else that could enhance his website. You asumed it was a template, and quite frankly I read the following in your statement: "so, you were dumb enough to buy a $50 template and now you want sole rights to the design, shame on you for doing it." Neither of us actually knows what Hennie brought, nor do we have the right to belittle him for that.



@byron_spy, I suggest you stop defaming me for pure observations I made on a public forum. I don't take that, or threads against my business seriously.

Its common knowledge that your systems can be more secure than fort nox but if you use weak passwwords that will be all for nothing ....

Unfortunately this is not a theme but modules from two different development houses that needs to be integrated with each other. The modules cost me in the region of R 11 000. I will manage the products myself.

It has been quite intense negotiations with the guys in Holland to bring prices down, so I just hope I'm not getting a watered down product at the end.

Agreed, you are welcome to comment here on your exact specs and we can give you a rough estimate on how much you are looking at

Unfortunately custom development does not come cheap
