Whats my best option for creating a re-distributable virtual pc?

I need to set-up a demo-able piece of software development running SQL2012 - when I'm done I need to be able to give it to someone else to copy to their laptop for a demo.

Hyper-V or Virtual Box. Both work well and you'll be able to do exactly what you need too.

Virtualbox will be the best for compatibility and ease of use for the third party.

VirtualBox gets my vote as well. Cross-platform.
