Wierd booting problem

I have a Gigabyte X58-USB3 motherboard and until recently it was running a i7 920 perfectly fine. Switch on the PC and all would work as expected. I have since replaced the i7 920 with a Xeon E5645, and every time I turn on the PC it runs for a few seconds, restarts and loops like this until I unplug it from the wall, after which it will boot fine and work as normal.

I have rma'd the board but this problem is still persisting. Any ideas?

Are you sure that your MB supports the E5465. A quick google search showed me the following: the i7 uses the LGA1366 socket and the Xeon E5465 uses FCLGA1366. I am not sure how interoperable these sockets are.
 
Make sure that your BIOS version is F3 or newer before installing the E5645 CPU.

The E5645 CPU isn't on the official supported CPU list though, but it should work if your BIOS is up to date.
 
It was already Pada, sitting on version F5a. I tried every available BIOS lol. The thing is once I have turned it off and on, the machine works perfectly.
