Windows 7 DSP vs Retail

However, my laptop is 2 years old...Lenovo Thinkpad R500 with the P8400 processor and 2GB DDR3 1066MHz RAM. I am working in Geophysics and I want to upgrade my ram to 2x 4GB 1333MHz. Currently I have Windows Vista Business 32-bit. I actually want to reformat my whole drive and remove the dual-boot option (vitualbox is the dusiness) and do a fresh Windows 7 professional 64-bit install. The retail pack however costs R1800. What does the upgrade do....format your drive and do a fresh install or just copy into the system32 folder new files and create a new system64 folder...? My laptop is a mess and a fresh install will return its speed...
 
You should back up your files and reformat anyway. It will be better to start with a clean installation. Especially when moving between different OS versions.
And if you are going to re-format and re-install, then you might as well buy the DSP version and save a few bucks.
