So interesting one, company offering an investment opportunity/employee retention plan for valuable employees.

Basically you get a whole wack of cash for shares in the company. If you stay for a few years with the company the loan is settled, if you leave before x years you give back the cash/shares and pay in the interest on the loan.

So you can clearly see that it's an employee retention plan (can't help but relate it to a cellphone contract). Does make me feel good though, apparently I'm not completely useless and worth something in this industry.

I'm not one to switch jobs every 2 months, basically only worked for 2 IT companies in the last 10 years. Also never plan past the end of the month.

Any comments?

The real question is "Are the employees happy?"

Happy employees don't need a golden handcuff

Ask for references (if possible) and do some research before jumping in. I remember this article from way back which helped me weigh all the options:

He advises workers to weigh options and salary along with the company’s reputation, its prospects for the future, and which investors or partners have already signed on. Financial advisers recommend starting with a salary that covers expenses and balancing that with options to generate future wealth. Ask for an options boost with each performance review and salary increase.
