Laptop dilemma

Depends on what you want to do with the notebook. If you do not need to add the machine to a domain and are content with Vista then I would go for the Pavilion. Just check the warranty, the Probook may have a 3 year.... Also the Pavilion does not have a docking station option.

No docking station needed or connection to domains as it will only be used at home.

How critical is it if it does not have a modem? Here I am thinking about an ADSL connection for the future as I currently use a data card.

Also if I get the one with Vista, how easy/difficult will an upgrade to Windows 7 ?
 
If you use a data card then you do not need the modem. With ADSL you need a router and will therefore not use the modem. Upgrading to Win 7 is easy, you should be able to get an upgrade for a few hundred bucks.
