Hi there,

Can a CC member co-owner refer to himself as a CEO?

Thanks

The CEO reports to the board of directors... CC has no directors... Sometimes the CEO is begin used as equivalent to the M.D.

Dunno actually... Haven't thought about it.

No you can't. You're a member, nothing more unless your job description states it. Calling yourself a CEO or MD when there are only two owner/managers in the business might sound classy to you, but it actually makes you sound like a pons to the people you do business with.

Spent the whole of Friday night doing study revison on CCs:

The answer is no, your only allow to refer to yourself as a "member" and the correct title your looking for is "manager" (that is the legal definition)

Also misreprenstation of your membership in a CC (like faux titles) can result in the member/members (those that are aware of the transgression and do nothing about it) of being held liable for all the CCs debts as you are now acting out of the legal bounds of a CC.

Can't see why not - Chief Executive Officer is generic enough.

You could even call yourself His Majestic Lordship of the Great and Honourable Empire of (insert CC name) - and member. . :)

As long as you also say you are a member.

The only legal requirement is that the company name is appended with the letters CC.

You can call yourself Douchebag for all the law cares.

Correct - (the official abbreviation in any other official language is also allowed) together with the cc registration number. Also on letterheads the names/initials and surnames of all members must be reflected.

The title you wish to call yourself is arbitrary - CEO / CFO / COO / CTO would all be acceptable - these are job descriptions - however might be foolish for a one man CC to use these titles.

AFAIK there is not even a legal restriction on calling yourself a director - but in practise, as this term is defined in relation to a company, it is not normally done.

Acutally, you need to list all the members too. As mentioned, I'm studying this crap but I'm taking great interest in it as my wife has a CC (she is one of two members) and we are working on getting her business compliant.

As long as you do not misreprensent your position in the CC. A non-manager may not refer to himself as a manager of the CC.

Thanks mikef and cbrunsdonza, forgot about that list-all-members requirement. I had better update my email signatures.
I don't like the word member, has too many possible derogatory sexual connotations.

By default all members of a CC are automatically considered to be authorised to participate in the management of the CC. This can be restricted in terms of a members association agreement but outsiders dealing with the CC are not assumed to be aware of such agreements and any agreement entered into by any member obo the CC would be binding on the CC unless it can be shown that the outside party acted fraudulently or should have been aware that the member was not authorised to enter into the contract obo the CC.

Have been canning myself reading through CCs with my perverted mind ;)

ie "Bok is a member of Springbok CC and is going to withdraw from the CC"

The Turquand Rule - IIRC from varsity days...

Yes, and if other members in the CC find out that a member has misrepresented themselves, this is when the member gets into trouble.

Agreed - the problem is that in most instances the CC would still be liable to the third party in terms of any agreements entered into (even if a particular member was not authorised to sign such agreement). This is one of the reasons that I would not accept membership in any CC if I was not comfortable with my co-members.

True (and crap on me for my Ninja edit there)

My wife is in a CC with her brother and I want him out for this reason. He has already lost us R100K in dodgy investments

Oh noes, somebody forgot to authorise my member, we'd better get a temp in to solve this problem, preferably female. :D

You both have dirty minds :)

A shareholder in a company is also frequently referred to as a member (just not the member you are thinking of)

....BOYZ....

For this reason I refer to myself as the owner of a business...
