Windows Server and Exchange 2008 vs 2003

We run Windows 2003 and Exchange 2003 on our servers and all our users run Vista 32-bit, but will upgrade to Win 7 64-bit when we upgrade our laptops soon.

What are the benefits of upgrading to the 2008 versions and are the 2008 versions stable after the service pack upgrades? We use offline files and a distributed file system (DFS) and have had a few unresolved issues under Vista/2003. Has this been fixed?
 
Well straight off the bat you get to access a heck of a lot more RAM with 64bit server than with Server 2003....

I can't really comment on DFS as I have not used this extensively. Group policy in 2008 is more detailed and imo a lot nicer to play with.
