Maybe u have an app. running which needs to be closed before you can shutdown/restart. Start>run>msconfig>startup and empty that list. Apply and restart (or close lid :p) and after nb has restarted try do start>shutdown...

its either a virus called win32brontok which cant be piced up by antiviruses or sowmtings corrupt

Don't empty the whole list in msconfig, you may wanna keep some important stuff like your AV running. Just empty everything that doesn't need to be there - Quicktime, Office etc.

Try pulling the plug (if the batteryis out) or force it to go off by holding down power button. Then when XP starts again it will try and sort itself. Just don't interrupt the check for inconsistencies.
Mine's doing something similar. SpyBot doesn't find anything. Virus check OK. Straaaaange.
